Course Description
This course provides a summary of current trends for dental practice ownership and transitions and offers key information for owners, buyers and professional employees. Subjects include: definition of EBIDA and a description of the financial metrics for a healthy dental practice; professional services contracts including new Washington State Noncompete law; practice acquisition and sale from a legal perspective; how to prepare for new tax laws; a discussion of individual versus group practice ownership; and how to find qualified CPA and legal services.

- Take steps to improve practice performance.
- Learn the key provisions of a professional services agreement.
- Detail how to ensure a smooth practice purchase or sale.
- Learn how to prepare for the new tax laws.
- Be aware of current trends regarding dental practice ownership.
Instructor
Ann Durham graduated from the University of Washington School of Law in 1982 with a Juris Doctorate Degree. She currently owns and operates her own law firm – Durham Law Offices PLLC in Bellevue, WA. The primary focus of her practice is to provide legal services to dental professionals. Ann’s practice areas include: practice sales, employment contracts, restrictive covenants, commercial leases and sales, corporate formations and business counseling for legal issues commonly encountered by dental professionals.
For the past 24 years, Ann has been a frequent lecturer to various dental organizations including University of Washington School of Dentistry, UW and Swedish Graduate Program Residents, Seattle-King County Dental Society, Pierce County Dental Society, Kitsap County Dental Society and various professional specialist groups and local study clubs.
Tim Proctor received his Bachelor of Arts in Business Administration from Seattle University with a major in accounting. For the last 30 plus years, he has owned and operated his own Certified Public Accounting firm, Proctor Company. Tim’s firm emphasizes tax, valuation, practice management and accounting services to health care professions and has a team of ten certified public accountants.
Tim has been a frequent lecturer on tax and practice management issues to various professional groups, in addition to being a guest lecturer to the University of Washington School of Dentistry General Practice Residents for over 25 years. For 12 years he was involved with Professional Value Corporation in its dental practice brokerage and valuation services including litigation support. He co-authored Buying or Selling a Dental Practice with David LaDow, J.D.
